Imagine a board member has just been elected to you board. You can literally hand them over the bylaws, and they should know their role and expectations on the board. So, you know your bylaws are like individual laws, but what do these laws do? Your bylaws can help: (Get the FREE Downloadable Template: https://www.grantwritingandfunding.com/bylaws) 1. Number of board members: The number of board members is recommended to be odd in case of a vote. Having no less than three members and no more than 15 is typically but do check your State requirements. 2. Office Seats and Roles: Describe each office seat (Chairman, Vice Chairman, Secretary, Treasurer) and their specific roles. 3. General Responsibilities of the Board: Duty to hire, fire, appoint officers, agents, or employees of the organization. 4. Duration of Elected Seat: I recommend at the very least to have staggered elections. 5. Non-compensation of Board Members: Including a non-compensation policy for nonprofit board of directors is advised. 6

Developing Articles of Incorporation is the next step in filing with your state and getting your nonprofit established. Now, every state is different, and you can visit your State’s nonprofit resources (link on www.grantwritingandfunding.com) to get a link for different state requirements. Sometimes states have very basic Articles of Incorporation to easily fill out in their own format, but for many you have to develop your own. For this podcast, we are going to give a basic outline of Articles of Incorporation. Why do you need Articles of Incorporation? 1) Articles are required for starting a tax-exempt nonprofit organization. 2) Articles will also give your nonprofit guidance in how it should operate. Establishing an IRS Tax-Exempt 501(c)3 nonprofit status is imperative to setting up your nonprofit for funding success. Most foundations and federal agencies require this status when awarding grants. This Letter of Inquiry, not to be confused with Letter of Intent, can be the difference between a foundation accepting a full application from your nonprofit or shutting you down.
